1. PURPOSE
The purpose of this Investor Relations Policy (this “Policy”) is to set out the principles and practices that Broadway Industrial Group Limited (the “Company”) adopts to facilitate an ongoing exchange of views so as to actively engage and promote regular, effective and fair communication with its current and prospective investors (“Investors”).
2. PRINCIPLES
2.1 The Company is committed to making timely, full and accurate disclosure and distributing corporate communication materials in accordance with the Listing Rules of the Singapore Exchange Securities Trading Limited (“SGX-ST”), the Code of Corporate Governance 2018 and other applicable laws and regulations.
2.2 The Company is committed to treating all Investors fairly and equitably. The Company will not disclose unpublished material information to selective Investors until the information is published on SGXNet. Where such information is inadvertently disclosed, the information will be disclosed publicly to all others as promptly as possible via SGXNet.
2.3 The Company will not respond to rumours or market speculation. However, if rumours indicate that trade-sensitive or materially price-sensitive information has been leaked or are false or inaccurate, the rumours will be promptly clarified via announcements made through SGXNet.
2.4 The Company strives to use clear and plain language in its communication with Investors.
3. SHAREHOLDERS’ MEETINGS
3.1 The Company conducts regular dialogue with shareholders to keep them informed of its developments and to seek and understand their views. The Company’s general meetings are the principal forum for dialogue with shareholders.
3.2 Shareholders are sent copies of the Company’s annual reports, circulars and notices of general meeting within the mandatory periods prescribed by applicable laws and regulations. The notices, which set out all items of business to be transacted at the general meetings, are announced via SGXNet and published in the local newspaper.
3.3 The Company tables separate resolutions at general meetings on each substantially separate issues unless the issues are interdependent and linked. Where necessary, detailed information on each resolution is provided in the explanatory notes to the notices of general meetings.
3.4 The Company’s Directors, management, company secretaries and external auditors attend general meetings to address shareholders’ queries. Directors’ attendance at general meetings held during the financial year is disclosed in the Company’s annual report.
3.5 All shareholders are entitled to attend and vote at general meetings in person or by proxy. Shareholders can appoint up to two proxies to attend, speak and vote at the general meetings in their stead. Shareholders who are relevant intermediaries may appoint more than two proxies.
3.6 Shareholders are given the opportunity to participate effectively in and vote at general meetings and are informed of the rules governing the general meetings.
3.7 All resolutions at general meetings are put to vote by poll and the results of each resolution are announced on the same day via SGXNet after the conclusion of each general meeting.
3.8 The minutes of general meetings record substantial and relevant comments or queries from shareholders relating to the agenda of the meeting, and responses from the Board and the Management. The minutes of general meetings are made available to shareholders on the Company’s website as soon as practicable.
4. RESULTS ANNOUNCEMENTS
4.1 The Company announces its quarterly or half-year financial results within forty-five (45) days from the end of each relevant financial period, and its full-year financial results within sixty (60) days from the end of each financial year.
4.2 The results announcements are published on SGXNet.
5. ANNUAL REPORTS AND SUSTAINABILITY REPORTS
5.1 The Company publishes an annual report within four (4) months from the end of each financial year. The annual reports provide a comprehensive and balanced overview of its business strategies and developments, market outlook, operational and financial performance, as well as corporate governance practices.
5.2 The Company also publishes a sustainability report within five (5) months from the end of each financial year. The sustainability report covers the material Environmental, Social and Governance factors, and sustainability strategy and performance.
5.3 The annual reports and sustainability reports are published on SGXNet.
6. CORPORATE WEBSITE
SGXNet announcements, annual reports, sustainability reports, circulars and other relevant corporate information are made available under the “Investor Relations” section of the Company’s website.
7. CONTACTS
7.1 The Company communicates only through its designated spokespersons. The Investor Relations team is the main intermediary between the Company and Investors. Investors may contact the Investor Relations team.
7.2 Shareholders may also contact the Company’s Share Registrar.
7.3 The contact details of the Investor Relations team and the Share Registrar are available on the corporate website.
8. PRIVACY
The Company recognises the importance of Investors’ privacy and will only deal with personal information received in accordance with its Privacy Policy which is available on the corporate website.
9. RESPONSIBILITIES
9.1 The Investor Relations team is responsible for implementing this Policy.
9.2 The Board of Directors of the Company is responsible for reviewing this Policy on a regular basis.
